These Terms of Use (the “Terms”) govern your access to and use of the Nilor Knowledge Center website and related learning materials, programme descriptions, and contact services (collectively, the “Site”). The Site is operated by NIL'OR Canada Inc. (“Nilor Knowledge Center,” “we,” “us,” or “our”) from our registered office at 66 Wellington St W, Suite 5300, Toronto, ON M5K 1E6, Canada.

By accessing or using the Site, you confirm that you have read and understood these Terms and agree to be bound by them. If you do not agree, do not use the Site. These Terms incorporate our Privacy Policy and our Cookie Policy, which explain how we handle personal information and cookies.

The Site is intended for users who are at least 16 years old. If you are under the age of 16, you may use the Site only with the consent and supervision of a parent or legal guardian.

1. Educational Disclaimers and Scope

Nilor Knowledge Center provides professional education, workplace development content, organizational learning resources, and educational consulting. All materials and interactions are provided for educational purposes only. They are designed to support learning and workplace discussion, not to deliver individualized professional advice.

  • Information on the Site should not be interpreted as financial, legal, or professional advice.
  • Individual results may vary depending on organizational context, implementation, and constraints.
  • No guarantees are provided regarding outcomes, performance improvements, or business results.
  • Users and organizations remain responsible for their own decisions, actions, and compliance obligations.

Where we provide examples (for instance, sample language for feedback, escalation, or documentation), those examples are illustrative and must be adapted to your policies, legal obligations, and workplace requirements.

2. Service Description; “As Is” Availability

The Site may include programme summaries, learning objectives, session formats, resource articles, templates, and contact forms to request information. We may update, modify, add, or remove Site content at any time to keep resources accurate and current. We do not promise that any particular programme, topic, or resource will remain available indefinitely.

The Site is provided on an “as is” and “as available” basis. While we aim for clarity and accuracy, we do not warrant that the Site will be uninterrupted, error-free, or free of omissions. Educational content is sometimes simplified for learning purposes; it should be cross-checked against your internal standards and local requirements when applied in practice.

3. Acceptable Use

You agree to use the Site lawfully and responsibly. You must not use the Site in a way that could harm the Site, our organization, or other users. In particular, you agree that you will not:

  • Attempt to bypass security controls or access non-public areas of the Site.
  • Introduce malware, attempt phishing, or transmit harmful code or content.
  • Scrape, crawl, or harvest content or data from the Site using automated means without our prior written permission.
  • Impersonate another person or misrepresent your affiliation with an organization.
  • Submit false or misleading information through the contact form.
  • Interfere with the normal operation of the Site, including load testing or denial-of-service activity.

We may suspend or restrict access if we believe, acting reasonably, that your use of the Site violates these Terms or poses a security, privacy, or integrity risk.

4. Intellectual Property and Limited License

The Site and its content—including text, programme descriptions, resource articles, templates, graphics, layout, and code—are owned by or licensed to NIL'OR Canada Inc. and are protected by Canadian and international intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal learning and evaluation purposes. You may not reproduce, distribute, publicly display, modify, create derivative works of, or commercially exploit the Site content without our prior written consent, except where such use is permitted by applicable law.

If your organization receives specific deliverables under a separate written agreement (for example, a customized facilitation deck or an internal template pack), that agreement will govern permitted use of those deliverables in preference to these Terms.

5. Contact Requests and Communications

If you contact us through the Site, you agree to provide accurate, current information sufficient for us to respond. We use contact details to respond to your request, coordinate scheduling, and provide programme outlines or clarifying information. Our handling of personal information is described in the Privacy Policy.

You may receive email or phone communications related to your inquiry. We do not require you to accept marketing communications as a condition of requesting information. If you want to stop non-essential communications, you can tell us at any time using the contact information in Section 21.

6. Third-Party Services and Links

The Site may reference third-party services used for delivery (for example, video conferencing platforms) or may include links to external websites for general information. Third-party services are operated by independent providers and are governed by their own terms and privacy policies.

We do not control and are not responsible for third-party content, availability, security practices, or policies. Inclusion of a link does not imply endorsement.

7. Disclaimer of Warranties

To the maximum extent permitted under applicable law, we disclaim all warranties and conditions, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we do not warrant that: (a) the Site will meet your requirements; (b) the Site will be uninterrupted, timely, secure, or error-free; (c) any content will be accurate, complete, or current at all times; or (d) use of the Site or materials will produce any particular organizational result.

8. Limitation of Liability

To the maximum extent permitted by applicable law, NIL'OR Canada Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunities, arising out of or related to your use of (or inability to use) the Site.

To the maximum extent permitted by applicable law, our total liability for all claims arising out of or relating to the Site or these Terms will not exceed the greater of: (a) the amount you paid to us in Canadian dollars (CAD) for Site-related services in the 12 months before the event giving rise to the claim, or (b) CAD $100.

Some jurisdictions do not allow certain limitations of liability. If such laws apply to you, some of the above limitations may not apply, but only to the extent required by law.

9. Indemnification

You agree to indemnify and hold harmless NIL'OR Canada Inc., its directors, officers, employees, and contractors from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or relating to: (a) your misuse of the Site; (b) your violation of these Terms; or (c) your infringement of any third-party rights.

10. Force Majeure

We will not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, labour disputes, war, public health emergencies, power or internet outages, cyberattacks, or failures of hosting and cloud infrastructure providers.

11. International Use

The Site is intended primarily for Canadian visitors and organizations. We make no representation that the Site content is appropriate or available for use in every jurisdiction. If you access the Site from outside Canada, you do so on your own initiative and are responsible for compliance with local laws.

12. Governing Law and Courts

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be brought exclusively in the courts located in Toronto, Ontario, and you submit to the personal jurisdiction of those courts.

If you are a consumer and mandatory consumer protection laws in your jurisdiction provide you with additional rights, those rights remain unaffected.

13. Dispute Resolution (Informal First)

Before starting formal legal proceedings, you agree to contact us and provide a short description of the issue and the relief you are seeking. We will attempt to resolve disputes in a practical manner within 30 days of receiving your notice. This informal process does not limit your right to seek relief in a court of competent jurisdiction where applicable.

14. Termination

We may suspend or terminate your access to the Site at any time if we reasonably believe you have violated these Terms, or if we must do so to protect the Site, our users, or our rights. The following sections will survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and NIL'OR Canada Inc. regarding your use of the Site, and supersede any prior or contemporaneous understandings on that subject.

17. Assignment

We may assign or transfer these Terms, in whole or in part, to an affiliate or successor in connection with a merger, acquisition, corporate restructuring, or sale of assets. You may not assign these Terms without our prior written consent.

18. No Waiver

Our failure to enforce any provision of these Terms will not be considered a waiver of our right to enforce that provision later. Any waiver must be in writing and signed by an authorized representative of NIL'OR Canada Inc.

19. Modifications to These Terms

We may update these Terms from time to time to reflect changes in the Site, legal requirements, or our practices. Updated Terms will be posted on this page with a revised “Last Updated” date. Changes will take effect 14 days after posting, unless a change is required to take effect sooner by law or for security reasons.

20. Electronic Communications

By using the Site and communicating with us electronically, you consent to receive communications from us in electronic form. You agree that all notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.
